01Agreement to these Terms

These Terms of Service ("Terms") are an agreement between you and FRONTIER PEAK RETAIL GROUP LLC ("Frontier Peak Retail", "we", "us" or "our"), with its business address at 5830 E 2nd St, Ste 7000 #38179, Casper, Wyoming 82609, United States. They govern your access to and use of the website at frontierpeakretail.com, including its catalog, request list and forms (together, the "Site").

By using the Site, and in particular by submitting one of its forms, you agree to these Terms. If you use the Site on behalf of a company or other organization, you confirm that you are authorized to accept these Terms for it, and "you" includes that organization. If you do not agree, please do not use the Site.

02What the Site is

The Site presents a catalog of branded apparel, footwear and accessories that we offer to retail buyers on a wholesale basis, and lets you request current wholesale pricing. The Site does not sell products directly, does not display prices and does not accept payments.

The Site is intended for business buyers and is not directed to anyone under 18. We may ask for information about your business before we quote or accept an order.

03Catalog information

We try to describe every style accurately. Product names, style numbers, colors, size ranges, compositions and other details are based on information the brands publish, and brand descriptions summarize public sources. Photographs illustrate the products and may not show every colorway or the exact item supplied.

Catalog listings are for information only. A listing does not mean that a style is in stock, that it is available in a particular size, color or quantity, or that it is available to every buyer. We may correct errors, update information, and add or remove styles at any time without notice.

04Price requests, quotes and orders

Submitting a price request or a message through the Site does not create an order or any obligation to buy or to sell. In reply, we may send you a quote. Unless a quote expressly says otherwise, it is an invitation to place an order, not a binding offer, and its prices and availability may change until an order is confirmed.

An order is formed only when we confirm it to you in writing, for example by an order confirmation or an invoice that identifies the products, quantities, prices, payment terms and delivery arrangements. We may decline any request or order.

Each order is governed by the terms stated in its order confirmation or invoice, together with our Shipping Policy and Returns & Refunds Policy. If those order terms conflict with these Terms, the order terms control for that order. We object to, and do not accept, any different or additional terms in a purchase order, vendor agreement or other document you send us; those terms do not apply to an order unless we expressly agree to them in writing.

Payment is made as set out in your order confirmation or invoice. The Site does not collect payment details, and we will never ask you to enter payment card information on the Site.

Where sales, use or similar taxes apply to an order, they are dealt with in its quote, order confirmation or invoice. If you are buying for resale or believe your order is exempt from tax, tell us when you ask for a quote; we may ask you for a valid resale or exemption certificate.

05Products and warranties

A brand or manufacturer may limit its warranty or after-sales service to products bought from its own authorized sellers. Unless your order confirmation or invoice says otherwise, we do not represent that any brand or manufacturer warranty applies to products bought from us. Any warranty we give for products we sell, including any assurance about their source or authenticity, is set out in the order confirmation or invoice for that order.

06Trademarks and third-party content

All third-party brand names, logos, trademarks and product photographs shown on the Site remain the property of their respective owners. Brand names and logos are used to identify the brands of the products we offer; photographs are shown to illustrate those products and are not licensed to you for any other use. Their use does not mean that any brand owner is affiliated with us, sponsors us, or endorses us or the Site. Nothing on the Site states or implies that we are an authorized distributor, agent or licensee of any brand shown, unless we expressly say so.

If you own rights in content that appears on the Site and believe it is used improperly, contact us at info@frontierpeakretail.com with details of the content and of your rights, and we will review it promptly.

07Our content and your license to use the Site

The Site's own text, design, layout and graphics, and the Frontier Peak Retail name and logo, belong to us or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable license to use the Site to evaluate our products and to communicate with us. You may print or save pages for your own internal business use.

You may not otherwise copy, reproduce, republish or distribute the Site or its contents without our written permission.

08Acceptable use

When using the Site you agree not to:

• copy or harvest catalog content from the Site in bulk for use on another website or service, or access the Site with automated tools in a way that impairs it (normal search-engine indexing and reasonable use of our public catalog API are permitted);
• interfere with the Site's operation or security, attempt to gain unauthorized access to any system, or introduce malicious code;
• submit false or misleading information, or someone else's information without permission, through our forms, or use the forms to send spam or unlawful content; or
• use the Site in any way that breaks applicable law or infringes anyone's rights.

09Information you send us

You are responsible for the information you submit through the Site, and you confirm that it is accurate and that you are entitled to share it. We handle personal information as described in our Privacy Policy.

10Links to other websites

The Site links to websites we do not control, such as brands' official websites and public sources. We provide these links for convenience and are not responsible for their content, availability or practices.

11Disclaimers

The Site and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, regarding the Site, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and we do not warrant that the Site will be uninterrupted, error-free or free of harmful components. This section concerns the Site itself; warranties for products are addressed in the section on products and warranties above.

12Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your use of, or inability to use, the Site, even if we have been advised of the possibility of such damages. Our responsibilities in connection with an order are governed by the terms of that order. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

13Indemnity

You agree to indemnify and hold harmless FRONTIER PEAK RETAIL GROUP LLC and its members, managers, employees and agents from and against claims, losses and expenses, including reasonable attorneys' fees, arising from your breach of these Terms or your misuse of the Site.

14Governing law and disputes

These Terms, and any dispute arising out of or relating to them or to the Site, are governed by the laws of the State of Wyoming, where FRONTIER PEAK RETAIL GROUP LLC is organized, without regard to its conflict-of-laws rules.

15Changes to these Terms

We may update these Terms from time to time. The version posted on this page, with its "Last updated" date, applies to your use of the Site from that date. Changes do not affect orders already confirmed, which remain governed by their own order terms.

16General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a reorganization or sale of our business. These Terms, together with the policies they reference, are the entire agreement between you and us about the Site.
